By accessing this website, purchasing services, or entering into a project with Digital Mosaics (“we,” “us,” or “our”), you agree to be bound by these Terms. If you do not agree, please do not use the site or services.
Nature of Services
Digital Mosaics provides website design, visual design, branding support, digital strategy, and related creative services, primarily using the Wix platform.
All services are provided on a project-based or scoped basis, as outlined in a written proposal, invoice, pricing plan, or email confirmation.
Digital Mosaics does not guarantee:

Specific business outcomes (including traffic, sales, conversions, or rankings)

Performance of third-party platforms, tools, or integrations
-
Compatibility with future platform updates beyond our control
Client Responsibilities
Clients agree to:

Provide timely access to content, assets, approvals, and platform logins as needed

Ensure accuracy, ownership, and legal compliance of all provided materials
-
Review deliverables and provide feedback within agreed or reasonable timeframes
Delays caused by missing materials, feedback, or approvals may impact timelines and delivery.
Payments, Milestones & Completion; Fees & Payment Structure
All fees are agreed upon in advance and documented through a proposal, invoice, pricing plan, or written confirmation.
Unless otherwise stated:

An initial deposit is required to begin work

Remaining balances are due according to agreed milestones or completion

Payments are due regardless of client launch timing or external dependencies
All payments are non-refundable once work has commenced.
Definition of “Substantially Complete”
A project is considered Substantially Complete when:

The agreed scope of work has been delivered and implemented
-
The website or deliverable is functional, accessible, and usable for its intended purpose
-
All primary pages, layouts, and features included in the scope are present
-
Any remaining items are minor, cosmetic, or refinement-based (e.g., spacing, copy edits, image swaps)
Substantial Completion does not require:
-
Final client launch or public publishing
-
Final copy or image approvals
-
Third-party approvals or integrations outside Digital Mosaics’ control
Once a project reaches Substantial Completion, the final balance becomes due.
Client Review & Feedback Window
Clients are responsible for reviewing delivered work and providing feedback within a reasonable review period, typically 7–10 business days unless otherwise agreed.
If feedback is not provided within this window:

The project may be deemed Substantially Complete

The final invoice becomes payable

Additional revisions requested later may require re-scoping and additional fees
Delays, Pauses & Abandoned Projects
If a project is delayed due to:

Client unresponsiveness
-
Delayed content, assets, or approvals
-
Third-party platform issues
Digital Mosaics reserves the right to:
-
Adjust timelines
-
Pause work
-
Invoice for completed phases
Projects paused for more than 30 days may require re-scoping, restart fees, or closure at the Substantially Complete stage.
Additional Work & Scope Changes
Any work requested beyond the agreed scope—including additional pages, features, redesigns, or revisions—will be quoted and billed separately.
Additional work does not delay payment obligations for completed milestones.
Late Payments
Late or unpaid invoices may result in:

Paused work

Delayed delivery
-
Temporary suspension of access to design files or staging environments
Access is restored upon receipt of payment.
Refunds
Because services involve time, strategy, and creative labor:

Deposits and completed milestones are non-refundable
-
No refunds are issued for completed or Substantially Complete work
Intellectual Property
Upon full payment:

The client receives ownership of final, delivered design assets created specifically for them
Digital Mosaics retains:

Ownership of working files, drafts, concepts, and unused materials
-
The right to display completed work in portfolios, case studies, and marketing materials unless otherwise agreed in writing
Third-Party Platforms & Tools
Digital Mosaics is not responsible for:

Changes, limitations, outages, or pricing updates related to Wix or third-party tools
-
Performance or security of third-party services
Clients are subject to the terms of those providers.
Limitation of Liability
To the fullest extent permitted by law, Digital Mosaics shall not be liable for:

Indirect, incidental, or consequential damages

Loss of revenue, data, or business opportunities
-
Platform-related issues beyond our control
Total liability shall not exceed the amount paid for services rendered.
Termination
Either party may terminate services with written notice.
Fees for work completed up to the termination date remain payable.
Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
